Eligibility

You must be at least 18 and legally able to enter a contract under the Indian Contract Act, 1872. Minors may use our training only through a parent or legal guardian.

Our services

The site lets you learn about our services, contact us, register for programmes and request quotations. Scope, deliverables, timelines and fees for any project or course are set out in a separate proposal, quotation, invoice, agreement or enrolment confirmation, which applies together with these terms. If they conflict, the signed agreement prevails.

What we expect from you

• Give accurate, current and complete information.
• Don't use the site for anything unlawful, fraudulent or harmful.
• Don't try to gain unauthorised access, introduce malware, or run penetration tests, scraping or scans without our written permission.
• Don't copy, resell or misuse our content, course materials or software.
• Keep your login details confidential, if we give you an account.

Fees and payments

• Fees are as stated in your quotation, invoice or course listing, and exclude GST and other taxes unless stated otherwise.
• Pay by the due date using the methods we specify.
• Late payment may attract interest or suspension of services, as set out in your agreement.
• Project work begins only after we receive the agreed advance.

Cancellations and refunds

• Projects and services: advance payments are generally non-refundable once work has started. Any refund depends on the work completed, as per your agreement.
• Training and courses: fees are non-refundable unless we cancel the course or the course terms offer a refund. If we cancel a batch, you can choose a refund or a transfer to another batch.
• Approved refunds are paid to the original payment method within a reasonable time.

Intellectual property

Everything on the site, including text, graphics, logos, designs, code, course material, videos and software, belongs to us or is licensed to us and is protected by law. Please don't reproduce, distribute or adapt it without our written consent.

On client projects, ownership of final deliverables passes to you only after full payment, unless your agreement says otherwise. We keep ownership of our existing tools, frameworks, libraries and know-how, and may show completed work in our portfolio unless we've agreed in writing to keep it confidential.

Client materials and confidentiality

You are responsible for making sure the content, data and images you give us don't infringe anyone's rights. Each side will keep the other's confidential information secure and use it only for the engagement.

Training programmes and certificates

• Enrolment depends on availability and our admission criteria.
• We may change course content, schedules, trainers or delivery mode when needed.
• Certificates are issued only after you meet completion and attendance requirements.
• We do not guarantee jobs, placements, internships, salary or any career outcome.
• Recordings and materials are for your personal use only and must not be shared or resold.

Third-party links and services

We don't control or endorse third-party sites and tools and aren't responsible for their content, availability or practices.

No warranties

The site and services are provided "as is" and "as available". As far as the law allows, we make no warranties on accuracy, uninterrupted availability or fitness for a particular purpose. See our Disclaimer for more.

Limitation of liability

As far as the law allows, we are not liable for indirect, incidental, special or consequential damages, including loss of profits, data, business or goodwill. Our total liability for any claim is limited to what you paid us for the specific service in the three months before the claim.

Indemnity

You agree to protect TPS Empire, its directors, employees and partners from claims, losses and expenses (including reasonable legal fees) arising from your breach of these terms, misuse of the site, or infringement of third-party rights.

Suspension and termination

We may suspend or end your access without notice if you breach these terms or the law. Terms that by nature should continue, such as intellectual property, payment, confidentiality, liability and indemnity, survive termination.

Force majeure

We're not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, epidemics, government orders, power or internet failures, cyber-attacks or strikes.

Governing law

These terms are governed by Indian law. Subject to any arbitration clause in a separate agreement, the courts in Uttar Pradesh, India have exclusive jurisdiction. We encourage trying to settle disputes amicably first.

Changes

We may revise these terms by posting an updated version here. Continuing to use the site means you accept the changes.
